1. Introduction and Acceptance

Welcome to JKASHJ PROPERTIES, LLC. These Terms of Service (the Terms) apply to all visitors, users, and others who access or use the Site. The Company is engaged in the business of computer systems design and related services, operating within the Professional, Scientific, and Technical Services sector.

5. Services Description

JKASHJ PROPERTIES, LLC provides professional services in the field of computer systems design and related technical services. Our core service areas include, but are not limited to: computer systems architecture and design; integrated systems engineering; network infrastructure planning and implementation; cybersecurity assessment and engineering; cloud and hybrid infrastructure strategy and deployment; and technical consulting and advisory services.

The descriptions of services on the Site are provided for informational purposes and do not constitute a binding offer to provide services. The scope, terms, deliverables, timeline, and fees for any engagement will be set forth in a separate written agreement or statement of work executed by both parties. No contractual relationship for the provision of professional services is formed solely through your use of the Site.

The Company reserves the right to modify, suspend, or discontinue any aspect of the Site or Services at any time without prior notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Site or Services.

6. User Obligations and Conduct

7. Intellectual Property Rights

All Content on the Site, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, page layout, software, and the design, selection, and arrangement thereof, is the exclusive property of JKASHJ PROPERTIES, LLC or its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The JKASHJ name, the JKASHJ PROPERTIES logo, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs, and slogans appearing on the Site are the trademarks of their respective owners.

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and view the Content solely for your personal, non-commercial use. This license does not include any right to: reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any Content, except as incidental to normal web browsing or as expressly permitted by these Terms.

8. User-Generated Content

When you submit information through the Site — including messages sent through our contact form, emails directed to serve@jkashj.hair, or other communications — you grant the Company a worldwide, royalty-free, non-exclusive, perpetual, and irrevocable license to use, reproduce, modify, adapt, publish, and distribute that content for the purpose of providing our services, responding to your inquiry, and improving the Site.

WITHOUT LIMITING THE FOREGOING, THE COMPANY DOES NOT WARRANT THAT: (A) THE SITE WILL OPERATE ERROR-FREE, UNINTERRUPTED, OR AT ANY PARTICULAR SPEED; (B) THE SITE OR ITS SERVERS ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (C) THE CONTENT ON THE SITE IS ACCURATE, COMPLETE, RELIABLE, OR CURRENT; OR (D) ANY DEFECTS OR ERRORS IN THE SITE WILL BE CORRECTED.

THE COMPANY ASSUMES NO RESPONSIBILITY FOR ANY ERRORS, MISTAKES, OR INACCURACIES IN THE CONTENT; FOR ANY PERSONAL INJURY OR PROPERTY DAMAGE RESULTING FROM YOUR USE OF THE SITE; OR FOR ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY DATA STORED THEREIN. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THE SITE IS TO DISCONTINUE USE OF THE SITE.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JKASHJ PROPERTIES, LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, YOUR USE OF OR INABILITY TO USE THE SITE, OR YOUR RELIANCE ON ANY CONTENT DISPLAYED ON THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF THE COMPANY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SITE EXCEED THE GREATER OF ONE HUNDRED UNITED STATES DOLLARS (USD $100.00) OR THE AMOUNT YOU HAVE PAID TO THE COMPANY FOR SERVICES IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE FOREGOING LIMITATIONS OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE EXCLUSIONS AND LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless JKASHJ PROPERTIES, LLC and its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorney fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Site or Services in any manner not expressly authorized by these Terms; (c) your User Content, including any claim that your User Content infringes the rights of a third party; or (d) your violation of any applicable law, rule, or regulation.

The Company reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with the Company in asserting any available defenses. You shall not settle any such claim without the prior written consent of the Company.

13. Termination

These Terms shall remain in full force and effect while you use the Site. The Company may, in its sole discretion, terminate or suspend your access to all or part of the Site at any time, with or without notice, and for any reason or no reason, including without limitation for a breach of these Terms.

Upon termination, your right to access and use the Site shall immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property rights, disclaimer of warranties, limitation of liability, indemnification, governing law, and dispute resolution.

The Company shall not be liable to you or any third party for any termination of your access to the Site. If you wish to terminate this agreement, you may simply discontinue using the Site.

14. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation — including non-contractual disputes or claims — shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law principles.

14.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first contact the Company at serve@jkashj.hair and attempt to resolve the dispute informally. The parties shall engage in good faith negotiations for a period of at least thirty (30) days. If the dispute cannot be resolved through informal negotiation within that period, either party may proceed to the dispute resolution mechanism described below.

14.2 Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, that cannot be resolved through informal negotiation shall be settled by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Weber County, Utah, before a single arbitrator mutually agreed upon by the parties. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against the Company.

15. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will update the Last Updated date at the top of this page and, where appropriate, provide additional notice — such as a banner on the Site or an email notification to registered users.

It is your responsibility to review these Terms periodically for changes. Your continued use of the Site following the posting of revised Terms constitutes your acceptance of the modified Terms. If you do not agree to the revised Terms, you must discontinue use of the Site immediately.

17.2 Severability

No waiver by the Company of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of the Company to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without the prior written consent of the Company. The Company may assign or transfer its rights and obligations under these Terms at any time without restriction, including in connection with a merger, acquisition, or sale of assets.

17.5 Force Majeure

The Company shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility failures, Internet disruptions, governmental actions, or failures of third-party service providers.

17.6 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and the Company. Neither party has the authority to bind the other or incur any obligation on the other behalf without prior written consent.

17.7 Notices

All notices, requests, and other communications required or permitted under these Terms shall be in writing. Notices to the Company shall be sent to serve@jkashj.hair or to the physical address listed in Section 16. Notices to you may be sent to the email address you provide or posted on the Site. Notice shall be deemed given upon receipt if sent by email, or three business days after mailing if sent by postal mail.

17.8 Headings

The section headings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision herein.
